Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Erris Consulting Group, LLC dba BiotechExec ("BiotechExec," "Ignite," "we," "our," or "us") governing your access to and use of the Ignite Life Science Executive Network platform, including all associated websites, applications, and services (collectively, the "Platform").

By creating an account or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility

The Platform is intended for use by professionals aged 18 or older. By using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms; and (c) all information you provide is accurate and complete. The Platform is not directed at, and may not be used by, individuals under the age of 18.

2. Accounts and Registration

To access most features of the Platform, you must register for an account. You are responsible for:

• Providing accurate, current, and complete registration information.
• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account, whether or not authorized by you.
• Promptly notifying us at support@biotechexec.com of any unauthorized use of your account.

You may not share your account credentials with any third party. We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Roles and Responsibilities

3.1 Clients

Clients are companies or individuals seeking life science consulting expertise. Clients agree to: (a) provide accurate descriptions of their project needs; (b) use expert services solely for lawful business purposes; (c) pay for booked sessions and engagements as agreed; and (d) treat experts respectfully and professionally.

3.2 Experts

Experts are independent professionals offering advisory services through the Platform. Experts agree to: (a) accurately represent their qualifications, experience, and expertise; (b) maintain any professional licenses or certifications required for their field; (c) fulfill booked sessions punctually and professionally; (d) maintain confidentiality of client information; and (e) operate as independent contractors, not as employees of BiotechExec.

3.3 Independent Contractor Relationship

Experts using the Platform are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between BiotechExec and any Expert. Experts are solely responsible for their own taxes, insurance, and compliance with applicable laws.

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights.
• Submit false, misleading, or fraudulent information.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Harass, threaten, defame, or otherwise harm other users.
• Transmit spam, unsolicited communications, or malware.
• Scrape, crawl, or extract data from the Platform without our prior written consent.
• Circumvent or interfere with security features, authentication systems, or access controls.
• Use the Platform for any purpose other than connecting with life science consulting professionals.
• Solicit or recruit experts outside the Platform in order to avoid applicable fees.

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating accounts and reporting activity to law enforcement.

5. Fees, Payments, and Billing

5.1 Service Fees

Access to certain Platform features requires payment of fees, including subscription plans and per-session booking fees. All fees are displayed in US dollars and are subject to change with advance notice to registered users.

5.2 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe to charge your payment method in accordance with your selected plan or booking. Your use of Stripe's services is governed by Stripe's Terms of Service.

5.3 Subscriptions

Subscription plans are billed on a recurring basis (monthly or annually, as selected). You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by applicable law.

5.4 Refunds

Refund requests for session bookings must be submitted at least 24 hours before the scheduled session. Refunds for sessions cancelled with less than 24 hours notice are at our sole discretion. Subscription fees are generally non-refundable except where required by law.

5.5 Expert Compensation

Experts are compensated according to their agreed hourly rate. BiotechExec retains a platform service fee from each transaction. Expert payouts are processed on the schedule communicated at onboarding.

6. Content and Intellectual Property

6.1 Our Intellectual Property

The Platform and all of its content, features, design, software, trademarks, and service marks are owned by or licensed to BiotechExec and are protected by applicable intellectual property laws. You may not copy, modify, distribute, reproduce, or create derivative works from any part of the Platform without our express written permission.

6.2 Your Content

You retain ownership of content you submit to the Platform (such as profile information, documents, and messages). By submitting content, you grant BiotechExec a non-exclusive, worldwide, royalty-free license to use, store, display, and process that content solely for the purpose of operating and improving the Platform. You represent that you have all rights necessary to grant this license.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by BiotechExec without obligation, compensation, or attribution to you.

7. Confidentiality

Information shared between clients and experts during consultations is confidential. Experts agree not to disclose client project details, business information, or proprietary data to any third party without the client's prior written consent, except as required by law. Clients agree not to misuse or publicly disclose expert methodologies or proprietary information shared during a session.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

BiotechExec does not warrant that: (a) the Platform will be uninterrupted, secure, or error-free; (b) any expert advice or information provided through the Platform is accurate, complete, or suitable for your specific situation; or (c) the Platform will meet your requirements.

Expert advice provided through the Platform does not constitute legal, medical, financial, or regulatory advice. You should consult qualified licensed professionals for advice specific to your situation. BiotechExec is not responsible for the accuracy or quality of advice provided by experts.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOTECHEXEC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIOTECHEXEC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BIOTECHEXEC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless BiotechExec and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.

11. Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 8, 9, 10, 12, and 13.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA) in Delaware, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis, not as a class or representative action.

13. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and BiotechExec regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Changes to Terms: We may update these Terms from time to time. We will notify registered users of material changes by email or platform notice. Continued use of the Platform after the effective date of updated Terms constitutes acceptance.
